1. Acceptance of Terms

By accessing or using OneTalk (the "App"), you agree to be bound by these Terms of Service. If you do not agree, do not use the App.

You retain ownership of content you create and upload. By uploading content, you grant OneTalk a worldwide, non-exclusive, royalty-free license to host, store, display, and distribute your public content.

OneTalk operates a zero-tolerance policy for objectionable user-generated content and abusive behaviour. The following will result in immediate content removal and may result in immediate, permanent termination of your account:

9. Termination and Account Deletion

We may terminate or suspend your account at any time for violations of these Terms. You may delete your account at any time:

Account deletion is irreversible and removes your profile, posted content, messages, and identifying account data, subject to retention requirements described in our Privacy Policy.

10. Disclaimers

OneTalk is provided "as is" without warranties of any kind. We are not liable for user-generated content or for any indirect, incidental, or consequential damages arising from your use of the App.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution: Before filing any formal claim, you agree to contact us at support@onetalk.co and attempt in good faith to resolve the dispute for at least 30 days.

Binding arbitration: Any dispute that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Wilmington, Delaware, or another mutually agreed location, or by video conference. Each party bears its own costs except as required by the AAA rules. You and OneTalk agree that disputes will be resolved only on an individual basis and not as a class, collective, or representative action.

Exception — small-claims court: Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction.

30-day opt-out: You may opt out of this arbitration agreement by emailing support@onetalk.co within 30 days of first accepting these Terms. Include your full name and the email address associated with your OneTalk account.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via in-app notification or email. Continued use of the App after changes constitutes acceptance.
